Notice of Meeting of Members

Pursuant to Section 291 (1) of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Dominion Finance Limited (in liquidation):

Take notice that as the affairs of the company are fully wound up the liquidators hereby summon a meeting of members to be held in the above matter at the offices of Smith Chilcott, Chartered Accountants, First Floor, General Buildings, 29 Shortland Street, Auckland on the 15th day of February 1994 at 10 o’clock in the forenoon.

Agenda:

1. To consider an account of the winding up, showing how the winding up has been conducted and the property of the company has been disposed of, laid before the meeting by the liquidators and to consider any explanation thereof.

2. To consider the recommendation that the books and records of the company be kept for a further 12 months from the date of the general meeting of the company and final meeting of creditors and then destroyed.

Notes:

1. Section 291 (1) of the Companies Act 1955, provides that as soon as the affairs of the company are fully wound up the liquidators shall also call a meeting of the creditors of the company. The liquidators have deemed it expedient to hold such meeting at the same time and place as the meeting of members.

2. Proxies to be used at the meeting must be lodged with the liquidators at the offices of Smith Chilcott not later than 4 o’clock in the afternoon on the 14th day of February 1994.

Notice is hereby given in pursuance to section 280 of the Companies Act 1955, that the final meeting of creditors of the above-named company will be held at the offices of Chambers Nicholls, Eighth Floor, AMP Centre, 47 Cathedral Square, Christchurch at 11. a.m. on Friday, the 18th day of February 1994 for the purpose of:

Having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of and to pass the following resolution:

“That the records of the company be disposed of 12 months after the date of this meeting.”

Every member or creditor entitled to attend and vote at the meeting is entitled to appoint a proxy and vote instead of that member. A proxy need not be a member or creditor of the company.
