Notice Calling Final Meeting

In the matter of the Companies Act 1955, and in the matter of Industrial and Radiological Laboratories Limited (in liquidation):

Notice is hereby given that a general meeting of the company will be held at the offices of Coopers & Lybrand, Twenty-eighth Floor, Coopers & Lybrand Tower, 23—29 Albert Street, Auckland at 3 p.m. on the 26th day of August 1994 for the purpose of:

(a) Having an account laid before the meeting showing the manner in which the liquidation has been conducted and the property of the company disposed of during the liquidation.

(b) Hearing any explanations that may be given by the liquidator.

(c) To consider, and if thought fit, pass the following extraordinary resolution:

Notice is hereby given that an extraordinary meeting of the members of New Zealand Co-Operative Wool Marketing Association Limited (in liquidation) will be held at the boardroom of Duncan Cotterill, Eighth Level, Clarendon Tower, corner of Worcester Street and Oxford Terrace, Christchurch on the 8th day of March 1995 at 10 a.m., for the purpose of allowing the liquidators to show how the winding up has been conducted and the property of the company has been disposed of.

Proxies:

A member of the company is entitled to appoint a proxy to attend and vote in his stead.

A proxy need not be a member and may vote on a poll.

Proxies must be deposited at the registered office of the company at 79 Cambridge Terrace, Christchurch, not less than 48 hours before the time set for the holding of the meeting.

Explanatory Notes:

Section 281 of the Companies Act 1955, requires the liquidators to call a general meeting of the company as soon as the affairs of the company have been fully wound up, for the purpose of laying before the meeting the account of the winding up and to give any explanations that may be required.

The final meeting cannot be held until well after the final payment to shareholders in order to allow a 6 month period for cheques to be presented. The cost of separately summoning a meeting runs to several thousand dollars. In order to save such additional costs, which is reflected in the current pay out, the liquidators have taken this opportunity to give the necessary notice.
