VOLUNTARY WINDING UP AND FIRST MEETINGS

Notice of Special Resolution

In the matter of the Companies Act 1955, and in the matter of Sentinel Investments Limited:

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 29th day of July 1994, the following special resolution was passed by the company, namely:

1. That by reason of all trading activities of the company having ceased, that the company, having filed a declaration of solvency, be wound up voluntarily.

2. That Douglas Kim Fisher of Auckland, chartered accountant, be and is hereby appointed liquidator.

The liquidator hereby fixes the 29th day of August 1994, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 1st day of August 1994, the following special resolution was passed by the company:

"That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily."

Note: A declaration of solvency has been filed in compliance with section 274 (2) of the Companies Act 1955.

Notice to Creditors of Last Day to Prove Debts or Claims

Notice is hereby given that the undersigned, liquidator of Brown Owl Investments Limited (in liquidation) which is being wound up voluntarily, does hereby fix the 12th day of September 1994, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
