rights, powers and privileges of a natural person
(including the powers referred to in section 15A (1) (a)

   transacted at the annual general meeting.

Explanatory Note: Special Resolution 6

The existing memorandum of association restricts the
company to carrying on the business of flour millers and
related activities. The amendment to the memorandum will
permit the company to invest in and undertake a wider
range of activities.

Proxies:

1. All members are entitled to attend the meeting and to
   vote. Any member is entitled to appoint a proxy to attend
   and vote on a poll instead of the member.

2. A proxy need not be a member of the company.

3. A proxy form is provided.

4. Proxies must reach the registered office of the company
   no later than 48 hours before the commencement of the
   meeting.

between Philip John Bartleet, Paul Trevor Dentice, Ernest William Gartrell, Brooke Anthony Gibson, Paul Ashley Morten, Thomas Michael Pivac, John Michael Pope and Geoffrey William Fleetwood Thompson,
carrying on business as solicitors at Wellington under the
firm of Macalister Mazengarb Perry Castle, has been
dissolved as from the 31st day of March 1994.

From the 1st day of April 1994, the aforesaid partners (with
the exception of Ernest William Gartrell) shall practise in
partnership under the firm of Macalister Mazengarb Perry
Castle as reconstituted from that date.

June 1994, and minute of reduction, as set out below, was
registered on the 30th day of June 1994.

(2) That the following minute showing the amount of
capital of the company be approved:

"The capital of the company be reduced from
$12,800,000 divided into 12 800 000 ordinary shares
of $1.00 each and $1,800,000 divided into 1 800 000

"The reduction of capital be effected by cancelling and
extinguishing liability on 11 000 000 paid up ordinary
