Notice of Resolution for Voluntary Winding Up and Notice to Creditors to Prove Debts or Claims

Notice is hereby given that by a duly signed entry in the minute book of the above-named company made on the 29th day of June 1994, the following special resolution was passed:

1. That for the purpose of business reorganisation the company, having filed a declaration of solvency, be wound up voluntarily.

2. That Brian Gillespie Moyle, chartered accountant of Whangarei, be and he is hereby appointed liquidator of the company.

The liquidator hereby fixes the 1st day of August 1994, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 30th day of June 1994, the following extraordinary resolution was passed by the company, namely:

“That the company be wound up voluntarily.”

Note: A declaration of solvency has been filed in compliance with section 274 (2) of the Companies Act 1955.

Notice is hereby given that by a duly signed entry in the minute book of the above-named company, pursuant to section 362 (1) of the Companies Act 1955, on the 30th day of June 1994, the following special resolution was passed:

1. That the company, having filed a declaration of solvency, be wound up voluntarily.

2. That A. J. McCullagh, be and is hereby appointed as provisional liquidator.

3. That the remuneration of the liquidator be recovered from the assets of the company.
