Notice Calling Final Meeting of Members

In the matter of section 281 of the Companies Act 1955, and in the matter of Fruitgrowers Insurance Limited (in liquidation):

Notice is hereby given that a general meeting of the company will be held at the offices of New Zealand Fruitgrowers Federation, Huddart Parker Building, Post Office Square, Wellington at 2 o’clock in the afternoon on the 27th day of July 1994, for the purpose of having an account laid before the meeting showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanations thereof by the liquidator.

Further Business:

To consider and if thought fit, to pass the following resolution as an extraordinary resolution, namely:

That the books, accounts and documents of the company be disposed of to the care of the members.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote in his/her stead. A proxy need not also be a member.

Proxies to be used at the meeting must be lodged at the offices of KPMG Peat Marwick, Seventh Floor, Peat Marwick House, 135 Victoria Street, Wellington, not later than 4 o’clock on the 26th day of July 1994.

Notice is hereby given that by an entry into the minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 28th day of June 1994, passed a resolution for voluntary winding up, and that a meeting of the creditors of the above-named company will accordingly be held at 9 o’clock in the forenoon on the 11th day of July 1994 in the conference room of Smith Sutcliffe & Co, AMG House, corner of Victoria and Liverpool Streets, Hamilton.

Business:

(i) Consideration of a statement of the position of the company’s affairs and list of creditors.
