The directors of each of the above-named companies advise declarations of solvency have been made for each of the companies. The companies being liquidated are non-trading and have been placed in liquidation as part of a restructuring of the Salmond Smith Biolab group of companies. The liquidations do not have any impact on the solvency of the Salmond Smith Biolab companies which are still in operation.

Pursuant to Section 269 (1) of the Companies Act 1955:

It was resolved by a special resolution of members dated the 27th day of June 1994, as provided by section 362 (1) of the Companies Act 1955:

That the company be wound up voluntarily in accordance with section 268 (1) (b) of the Companies Act 1955.

It was further resolved:

That John Rowlands Leslie, chartered accountant of Blenheim, be appointed liquidator for the purpose of winding up the affairs of the company, distributing the assets and attending to all statutory obligations required under the Companies Act 1955.

A statutory declaration of solvency was filed with the District Registrar of Companies prior to the passing of these resolutions.
