Notice of Final Meeting of Company—Members Winding Up

In the matter of the Companies Act 1955, and in the matter of Kitenga Developments (Manukau) Limited, Kitenga Developments (Te Rapa) Limited and Kitenga Developments (Glenfield) (in voluntary liquidation and members winding up):

Take notice that in pursuance of section 281 of the above Act, the final general meeting of the above-named company shall be held at the offices of Appleby & Burns, Fifth Floor, Union House, 32 Quay Street, Auckland on the 8th day of July 1994 at 9 o’clock in the forenoon for the purpose of laying before such meeting the account of the winding up of the above-named company and of giving any explanation thereof.

Notice is also given that the meeting will consider, and if thought fit, pass the following extraordinary resolution:

“That the books and records of the company be retained by the liquidator for a period of 3 months from the date of registration by the Registrar of Companies of the liquidator’s return of final meeting and then be destroyed.”

A member entitled to attend and vote is entitled to appoint a proxy to attend and vote instead of him/her, and that the proxy need not be a member of the company.

Notice is hereby given, pursuant to section 291 of the Companies Act 1955, that a general meeting of the above-named company and its creditors will be held at the offices of Brookfields, Solicitors, 3 Osterley Way, Manukau City on the 3rd day of July 1994 at 9 o’clock in the forenoon, for the purposes of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof of the liquidator.

To consider, and if thought fit, to pass the following resolution as an extraordinary resolution, namely:

“That the books and papers of the company and of the liquidator shall be retained in the custody of the liquidator for the statutory period.”

Notice is hereby given, pursuant to section 291 of the Companies Act 1955, that the final meeting of the creditors of the above-named companies will be held at the offices of Murray G. Allott, Chartered Accountants, 13 Woodford Terrace, Fendalton, Christchurch on Wednesday, the 29th day of June 1994 at 9 a.m., for the purpose of:

(1) Having an account laid before it showing how the winding up has been conducted and the property of the companies has been disposed of from the 26th day of May 1993 to the 7th day of June 1994, and to receive any explanation thereof by the liquidator.

(2) To resolve, pursuant to section 328 (1) (b) of the Companies Act 1955, how the books, accounts and documents of the companies and of the liquidator are to be disposed of.
