(formerly Alca Investments Limited) (“the company”)

Notice of Proposed Resolution to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the above-named company in lieu of a general meeting of the members of an extraordinary general meeting of American Bistro (Christchurch) Limited, the following special resolution:

“That the memorandum of association of the company be altered by amending the company’s name in clause 1 to American Bistro (Christchurch) Limited and by inserting the following additional clauses:

5. The sole object of the company shall be to develop, establish, own, operate, maintain, promote, manage, and direct restaurants known as or in the style of restaurants known as ‘T.G.I. Friday’s’.

6. Notwithstanding that pursuant to section 15A (1) of the Companies Act 1955, the company has the rights, powers and privileges of a natural person, the company shall restrict its exercise or use of those rights, powers and privileges only for the purposes of or reasonably incidental to achieving the company’s sole object as stated in clause 5 above.”
