Notice is hereby given that, pursuant to section 269 of the Companies Act 1955, and by means of an entry in the minute book of Levy Distributors Limited, in accordance with section 362 of the Companies Act 1955, the following special resolution was passed on the 9th day of May 1994:

1. That the company be wound up voluntarily, a declaration of solvency having been filed in accordance with section 274 of the Companies Act 1955.
2. That the company nominates Bruce McCallum and David Ross Petterson as joint and several liquidators of the company and that remuneration shall be charged by the liquidators on the same basis as that normally applied for receivership and liquidation work, and that the remuneration shall be payable from the assets of the company during the course of the liquidation.
