Company Rebuilders Limited, hereby gives you notice that by special resolution of the company, dated the 8th day of April 1994, it resolved:

1. The declaration of solvency having been filed in compliance with section 274 of the Companies Act 1955, that the company be wound up voluntarily.

2. That Reginald Alan Smith of Christchurch, business consultant, be and is hereby appointed liquidator of the company.

3. That remuneration of the liquidator be fixed by arrangement with the directors.

Resolved this 30th day of March 1994, as a special resolution by means of an entry in the minute book, as provided by section 362 (1) of the Companies Act 1955:

“That, due to the restructuring of Coastal Seafoods Limited and its subsidiaries, and a declaration of solvency having been made and filed in accordance with section 274 (2) of the Companies Act 1955, that the company be wound up voluntarily, and Mr Stephen Early be appointed liquidator.”
