Bridgecorp Holdings Limited

Reduction of Capital

Notice is hereby given, that on the 1st day of March
1994, there was registered against the companies office
file of Bridgecorp Holdings Limited with the Registrar of
Companies at Auckland, an order of the High Court of
New Zealand, confirming a reduction of capital was
reduced. The text of the minute approved by the High
Court related to the reduction of capital was as follows:

"The capital of Bridgecorp Holdings Limited, being an
authorised capital of $50,000,000 comprising:

(i) 85 979 250 unissued ordinary shares of 50 cents
each.

(ii) 14 020 750 issued fully paid ordinary shares of
50 cents each has been reduced to $10,000,000 by
reducing the par value of each share, both issued
and unissued to 10 cents. The authorised share
capital of Bridgecorp Holdings Limited is now
$10,000,000 divided into 100 000 000 ordinary
shares of 10 cents each comprising:

(i) 85 979 250 unissued ordinary shares of 10 cents
each.

(ii) 14 020 750 issued fully paid ordinary shares of
10 cents each."

Underground Fashions Limited

Notice of Extraordinary General Meeting

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that an extraordinary general
meeting of Underground Fashions Limited ("the
company") will be held at the offices of the company on
Level 13, Quay Towers, 29 Customs Street, Auckland on
the 28th day of March 1994 at 10 a.m., at which it is
intended to propose as a special resolution a resolution
for the alteration of the provisions of the memorandum
of the company, pursuant to section 18 (5) of the
Companies Act 1955. The following resolution will be
considered, and if thought fit, passed at the meeting:

"That the memorandum of association of the company
be and hereby is altered by omitting paragraph 5 of
the memorandum including all the objects and
powers set out in that paragraph, and substituting
the following, namely:

'The company shall have the rights, powers and
privileges of a natural person (and the powers
referred to in subsection 1 (a) to (h) of section 15A
of the Companies Act 1955)'."
