Pursuant to Section 8 (1) of the Receiverships Act 1993

Notice is hereby given that on the 5th day of December
1994, Messrs Donald Leroy Francis and Russell Stuart
Hay, both chartered accountants of Wellington, were
appointed receivers and managers of the property of Studio
Furniture Limited under the powers contained in a
mortgage debenture dated the 5th day of February 1993,
given by that company. The property in receivership is all
of the company's undertaking, property and assets.

dated 1 September 1993, issued by the above-named
company, appointed Keith Raymond Smith and Brian
Mayo-Smith, chartered accountants, both of Auckland, to
be joint and several receivers and managers of the property
charged by the said debenture on 5 December 1994. The
property charged by the said debenture is the companies
undertaking and all its property and assets, whatsoever and
wheresoever.

("the debenture holders").

1. The debenture holders are the holder of a debenture
   dated the 17th day of March 1993 executed by the company
   ("the debenture").

2. Pursuant to clause 5 (f), the company has ceased or
   threatened to cease to carry on business thereby the money
   secured under the debenture have become due and payable.

3. Pursuant to the debenture, the debenture holders appoint
   the receiver as receiver and manager of all the property of
   the company charged by the debenture to exercise jointly
   and severally every power conferred upon a receiver and
   manager by the debenture and by law.

We, Kim Scott Thompson and Grant Mackintosh, chartered
accountants, both of Hamilton, hereby give notice that on
the 8th day of December 1994, we were appointed receiver
of the whole of the undertaking of the property of
Modulair Systems Limited under the powers contained in
an instrument of debenture dated the 16th day of June 1992
and registered in the Companies Office on the 22nd day of
June 1992.
