Notice of Extraordinary General Meeting to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to hold an extraordinary general meeting of McCollam Printers Limited (“the company”) at Level Sixteen, Tower One, The Shortland Centre, 51–53 Shortland Street, Auckland on Friday, the 11th day of November 1994 at 9 a.m., for the purpose of considering, and if thought fit, passing the following resolution which will be proposed as a special resolution:

That the memorandum of association of the company be altered by:

  1. Omitting clauses 3 and 4 thereof and consequently renumbering clauses 5 and 6 thereof and accordingly the company shall henceforth have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) of section 15A (1) of the Companies Act 1955; and

  2. Omitting the following words from the new clause 4 (formerly clause 6):

with power also for the company to increase or reduce the said capital and to issue any part of its capital original or increased with or without any preferential deferred qualified or special rights privileges or conditions attached thereto and so that unless the conditions of issue shall otherwise expressly declare every issue of shares whether declared to be preference or otherwise shall be subject to the powers hereinbefore contained.
