Notice is hereby given that an extraordinary general meeting of Child Development and Care Training Programme Limited is to be held at 9 a.m. on the 28th day of January 1994 at the registered office of the company at 93 Hine Street, New Plymouth to consider and if thought fit to pass the following special resolution:

That there is proposed to be a new clause 6 to the memorandum of association which shall read:

“6. The objects of the company are to provide education within the province of Taranaki.”

In the matter of section 76 of the Companies Act 1955, and in the matter of Athenberry Holdings Limited—Plaintiff:

Notice is hereby given that the order of the High Court of New Zealand, dated the 30th day of November 1993, confirming the reduction of the share capital of the above-named company from $1,845,120.00 to $1,200,240.00 and the minute approved by the Court were registered by the District Registrar of Companies at Hamilton on the 10th day of December 1993.

The said minute is in the following words and figures following:

“i. Pursuant to the passing of a special resolution of Athenberry Holdings Limited (‘the company’) made on the 5th day of August 1993, and confirmed by an order of the High Court of New Zealand at Auckland on the 30th day of November 1993, the share capital of the company is now as follows:

ii. The issued share capital of the company be 1,200,240 ordinary shares with a nominal value of $1.00 each and that the presently issued share capital of the company be reduced as follows:

a. $645,000.00 divided into 645,000 fully paid ordinary shares of $1.00 each to be reduced to $200,040.00 divided into 200,040 fully paid ordinary shares of $1.00 each and that such reduction be effected by cancelling paid up capital of $444,960.00 divided into 444,960 fully paid ordinary shares.”
