In the High Court of New Zealand, Dunedin Registry

In the matter of Part II of the Partnership Act 1908, and in the matter of a special partnership between Earnscleugh Orchards No. 1 Limited and Company:

It is certified pursuant to section 58 of the Partnership Act 1908, that:

  1. The name of the special partnership is Earnscleugh Orchards No. 1 Limited and Company.

  2. The names, addresses and capital contributions of the general and special partners are as set forth in the Schedule.

  3. The general nature of the business which is being transacted by the special partnership is as follows:

    (a) Horticultural development and production.

    (b) Purchase, lease, take on hire or by any other means acquire any real or personal property and any other rights, licences, privileges or easements which the special partnership may think fit, necessary or convenient for the purposes of its business.

    (c) Manage, maintain, develop, exchange, mortgage, lease, sell or otherwise deal with or dispose of all or any part of the property and right of the special partnership.

    (d) The principal place at which the business of the partnership is being conducted is MacPherson Road, Earnscleugh.

    (e) The partnership commenced on registration of a certificate, pursuant to section 54 of the Partnership Act 1908, on the 5th day of May 1986 and was to determine on the 5th day of May 1993. The partnership has been renewed from that date and shall terminate upon the expiry of 5 years from the date of registration of this certificate.
