Notice Confirming Reduction of Capital

In the matter of the Companies Act 1955, and in the matter of Te One Enterprises Limited:

Notice is hereby given that an application for an order confirming the reduction of the capital of the above-named company from $400,000.00 to $2,000.00 was on the 20th day of January 1993, filed in the High Court of New Zealand at Tauranga and is now pending, and that by an order dated the 7th day of May 1993, an inquiry was directed as to the debts, claims and liabilities of the said company as on the 3rd day of July 1992. A list of the persons admitted to have been creditors of the company for debts, claims and liabilities to which the inquiry extends on the said 3rd day of July 1992, may be inspected at the offices of the company at Tauranga or at the office of Ingham Mora Malcolm & Russell, Durham Street, Tauranga at any time during usual business hours.

Any person who claims to have been on the said 3rd day of July 1992 and still to be, a creditor of the company in respect of any such debt, claim or liability, and who is not entered on the said list and desires to be so entered, must on or before the 30th day of June 1993, send in the person’s name, address and description and the particulars of that person’s claim and the name and address of that person’s solicitor (if any) to the undersigned at Tauranga or, in default thereof, that person will be precluded from objecting to the proposed reduction of capital.

Notice is hereby given that an extraordinary general meeting of shareholders will be held on Wednesday, the 23rd day of June 1993 at 11 a.m., in the Hawera Community Centre Theatre Lounge, Albion Street, Hawera.

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company as provided by section 362 of the Companies Act 1955, in lieu of a general meeting of the members of Taumarunui Hotel Limited, the following special resolution:

“That the memorandum of association of the company be altered by omitting clauses 3 and 4 thereof and consequentially renumbering clauses 5 and 6 thereof and that the company shall henceforth have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) of section 15A (1) of the Companies Act 1955.”
