Notice of Meeting of Creditors

In the matter of the Companies Act 1955, and in the matter of Letterhead Printing Limited (in liquidation and trading as Quadrant Press):

Notice is hereby given that by an entry into the minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 18th day of May 1993, passed a resolution for voluntary winding up, and that a meeting of the creditors of the above-named company will accordingly, be held at 3 p.m. on the 1st day of June 1993 on the Ninth Floor, KPMG Centre, 9 Princes Street, Auckland.

Business:

1. Consideration of a statement of the position of the company’s affairs and a list of creditors.

2. Appointment of liquidator.

3. Appointment of a committee of inspection, if thought fit.

Limited, under the powers contained in a debenture dated the 11th day of August 1992, which property consists of all the undertaking, goodwill and assets relating to the operation of the business carried on by The Wedding Lab. Limited.

Take notice that a meeting of creditors is to be held at the New Zealand Society of Accountants, Conference Centre, 27-33 Ohinerau Street, Remuera, Auckland, on the 31st day of May 1993 at 10 a.m.

Agenda:

1. Appointment of person to preside at the meeting.

2. Disclosure by the directors of a full statement of the position of the company’s affairs together with a list of the creditors of the company and the estimated amount of their claims and the circumstances leading to the winding up.

3. Appointment of liquidator or liquidators.

Notice Calling General Meeting

Notice is hereby given, pursuant to section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the liquidator’s office situated at Norfolk House, 18 High Street, Auckland on the 11th day of June 1993 at 8.30 a.m., for the purpose of laying before the shareholders the liquidator’s account of the winding up showing how the winding up has been conducted, and the property of the company disposed of, and to receive any explanation thereof by the liquidator and also of determining by extraordinary resolution that the books, accounts and documents of the company and of the liquidator shall be held at the residence of Marius V. H. Bolscher for a period of 5 years from the date of this resolution.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.
