Notice of Meeting of Creditors

Pursuant to Section 205 of the Companies Act 1955

1. Notice is hereby given that by order of the High Court of New Zealand a meeting of creditors of Casa Bella Limited will be held at the offices of Davenports, Solicitors, corner of Auburn and Northcroft Streets, Takapuna at 10 a.m. on Friday, the 7th day of May 1993.

2. The purpose of the meeting is to consider and, if thought fit, approve (with or without modification) a scheme of arrangement between Casa Bella Limited and its creditors.

3. All creditors of Casa Bella Limited are entitled to attend and vote at the meeting. For this purpose a “creditor” includes any person to whom Casa Bella Limited owes a liability, duty or obligation of any nature (whether present or future, actual or contingent) as at today’s date.

4. A creditor is entitled to appoint a proxy to attend and vote in his stead at the meeting. A proxy need not be a creditor. A form of proxy may be obtained in accordance with paragraph 5 below. A completed and executed form of proxy must be delivered to Davenports, Solicitors, corner of Auburn and Northcroft Streets, Takapuna, not later than 3 p.m. on Thursday, the 6th day of May 1993.

5. Any person may obtain a copy of the scheme of arrangement and form of proxy at any time during normal business hours from Davenports, Solicitors, corner of Auburn and Northcroft Streets, Takapuna.
