Notice is hereby given that by duly signed entry in the minute books of the above-named companies on the 30th day of March 1993, the following special resolutions were passed by the companies, namely:

“That a declaration of solvency has been made and that it is expected that creditors will be paid in full, and that the companies be wound up voluntarily.”

Notice to Creditors to Prove Debts or Claims

Notice is hereby given that the undersigned, the liquidator of Papwin Holdings Limited (in liquidation) and Whitaker Place Limited (in liquidation), which are being wound up voluntarily, do hereby fix the 30th day of April 1993, as the day on or before which the creditors of the companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distributions made before the debts are proved or, as the case may be, from objecting to the distributions.

The above-named companies being wound up are all solvent. Their present activities are being incorporated into one trading company and their businesses will continue as normal, as trading divisions of McKechnie Pacific Limited. From the 1st day of April 1993, the business of G Methven & Company Limited will operate as Methven Tapmakers; the business of McKechnie Metal Products Limited will operate as McKechnie Metals; the business of A W Fraser & Sons Limited will operate as A W Fraser, and the business of Hardware Manufacturing Company Limited will operate as HMC.

Notice is hereby given that by duly signed entry in the minute books of the above-named companies on the 31st day of March 1993, the following special resolutions were passed by the companies, namely:
