Notice of Resolutions for Voluntary Winding Up

Notice is hereby given, pursuant to section 269 of the Companies Act 1955, that on the 24th day of February 1993, each of the above-named companies passed:

(a) A special resolution that the company be wound up voluntarily;

Notice of Members Winding Up of Companies No Longer Required

In the matter of the Companies Act 1955, and in the matter of the following companies Rod French Limited, C.E. Jacobsen Limited and Scott & Williams (Nelson) Limited:

Notice is hereby given that the following special resolution was passed by the members of each of the above-named companies by duly signed entry in the minute book on the 19th day of February 1993:

“That in view of its non-trading nature the company, having filed a declaration of solvency, be wound up voluntarily and that Barry Lincoln Collier Thompson, chartered accountant of Nelson, be appointed liquidator.”

Furthermore, pursuant to regulation 85 (2) of the Companies (Winding Up) Rules 1956, the liquidator has fixed the 22nd day of March 1993, as the day on or before which the creditors of the above-named companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distributions.

Note: These companies have ceased trading, all debts are paid in full, and the assets are being transferred to the shareholders.
