Notice is hereby given that on the 15th day of November 1993, Justice Thorp of the High Court of New Zealand made an order confirming the reduction of authorised capital of Spectrum Resources Limited from $25,000,000.00 to $3,000,000.00, the reduction of the issued capital from $9,668,514.00 to $1,160,221.62 and the reduction of the balance of the share premium account from $1,028,548.00 to nil and approved the minute set out below.

The said minute is in the following words and figures:

“(a) The issued share capital of the company was reduced from $9,668,514.00 divided into 38 674 054 issued and fully paid ordinary shares of $0.25 each to $1,160,221.62 divided into 38 674 054 issued and fully paid ordinary shares of $0.03 each.

(b) The authorised or nominal capital of the company is reduced from $25,000,000.00 divided into:

(i) 38 674 054 issued and fully paid ordinary shares of $0.25 each; and

(ii) 61 325 946 unissued ordinary shares of $0.25 each;

to $3,000,000.00 divided into:

(i) 38 674 054 issued and fully paid ordinary shares of $0.03 each; and

(ii) 61 325 946 unissued ordinary shares of $0.03 each; and

(c) The balance standing to the credit of the share premium account of the company amounting to $1,028,548 be reduced by the sum of $1,028,548 to nil.”

The Court order confirming the above reduction in capital was registered with the Registrar of Companies on 22 November 1993.

Cue Energy Resources No Liability

Notice of Registration of Order and Minute

Pursuant to Section 78 of the Companies Act 1955

Notice is hereby given that on the 26th day of October 1993, Justice Ellis of the High Court of New Zealand made an order confirming the reduction of capital of Cue Energy Resources No Liability and approved the minute set out below and that a sealed copy of that order and the minute set out below was registered with the Registrar of Companies on the 16th day of November 1993.

The said minute is in the following words and figures:

“The capital of Cue Energy Resources No Liability, by virtue of a special resolution passed by the shareholders on 8 December 1992, and with the confirmation of an order of the High Court, was reduced from $50,000,000 divided into 100 million ordinary shares of 50 cents each to $35,000,000 divided into 100 million ordinary shares of 35 cents each of which 21 210 774 ordinary shares of 35 cents were issued and fully paid, 31 799 174 ordinary shares of 35 cents were issued and paid to 30 cents, 100 000 ordinary shares of 35 cents were issued and paid to 1 cent and 15 124 300 ordinary shares of 35 cents were paid to 25 cents (and were forfeited).

A further resolution was passed by the shareholders on 8 December 1992 at the same meeting at which the resolution reducing the capital of Cue Energy Resources No Liability was passed. This further resolution gave the directors the power to re-issue all or any of the 15 124 300 forfeited ordinary shares. Pursuant to that further resolution, 74 600 forfeited shares were re-issued and a further 5 cents was paid up thereon on 9 December 1992 and 200 000 forfeited shares were re-issued and a further 5 cents was paid up thereon on 18 March 1993. Accordingly, the capital of Cue Energy Resources No Liability on the registration of this minute is $35,000,000 divided into 100 million ordinary shares of 35 cents each of which 21 210 774 ordinary shares of 35 cents were issued and are and are deemed to be fully paid, 32 073 774 ordinary shares of
