Notice of Resolution for Voluntary Winding Up and Creditors Meeting

In the matter of the Companies Act 1955, and in the matter of Global Fodder Limited (in receivership and in liquidation):

Notice is hereby given that by an entry in its minute book, signed in accordance with section 362 of the Companies Act 1955, the above-named company on the 17th day of November 1993, passed a resolution for voluntary winding up and that a meeting of the creditors of the above-named company will be held, pursuant to section 284 of the Companies Act 1955, in the boardroom of the offices of Goldsmith Fox PKF, 236 Armagh Street, Christchurch on the 30th day of November 1993 at 2 p.m.

Further Business:

Consideration of a statement of the position of the company’s affairs and a list of creditors.

Nomination of liquidator.

Appointment of committee of inspection, if thought fit.

Proxies to be used at the meeting must be lodged at the registered office of the company, care of G. K. Falloon, 6 Durham Street (P.O. Box 78), Rangiora, no later than 4 o’clock in the afternoon of the 29th day of November 1993.

Notice of Resolution for Voluntary Winding Up and Notice to Creditors to Prove Debts or Claims

In the matter of the Companies Act 1955, and in the matter of James Wallace of New Zealand Limited (in liquidation), Northtown Properties Limited (in liquidation), Waterfront Projects Company Limited (in liquidation) and Zircon Investments Limited (in liquidation):

Notice is hereby given that by duly signed entry in the minute books of the above-named companies on the 18th day of November 1993, the following extraordinary resolutions were passed by each company, namely:

“That the company be wound up voluntarily.”

Note: Declarations of solvency have been filed in compliance with section 274 (2) of the Companies Act 1955.

Notice is hereby given that the undersigned, the joint liquidator of the above-named companies which are being wound up, does hereby fix the 24th day of December 1993, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Notice is hereby given that by duly signed entry in the minute books of the above-named companies on the 22nd day of November 1993, the following extraordinary resolution was passed by the companies, namely:

“That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.”

Explanatory Note: The above companies are subsidiaries of Equiticorp Trading Limited (in statutory management) and are part of the Equiticorp Group of Companies that have been subject to statutory management since 1989. The above companies ceased to be subject to statutory management by Order in Council on the 19th day of November 1993 and are now being wound up to enable them to be removed from the Register of Companies.
