Notice of Order Confirming Reduction of Capital

In the matter of section 76 of the Companies Act 1955, and in the matter of Burroughs Wellcome & Co New Zealand Limited—Plaintiff:

Notice is hereby given that the order of the High Court of New Zealand dated the 26th day of January 1993 confirming the reduction of the share capital of the above-named company from $11,720,000.00 to $3,000,000.00 and the minute approved by the Court were registered by the District Registrar of Companies at Auckland on the 4th day of February 1993. The said minute is in the words and figures following:

i. Pursuant to passing of a special resolution of Burroughs Wellcome & Co New Zealand Limited (“the company”) made on the 24th day of December 1992, and confirmed by an order of the High Court of New Zealand at Auckland on the 26th day of January 1993 the share capital of the company is now as follows:

ii. Share capital of the company is $3,000,000.00 divided into 1 500 000 ordinary shares of $2 each, of which 1 500 000 fully paid ordinary shares have been issued.

Notice of Special Resolution Altering Memorandum of Association

Notice is hereby given that it is proposed that the members of TNT Shipping (NZ) Limited (“the company”) consider and if thought fit, pass as a special resolution on the 4th day of March 1993, by way of an entry in the minute book of the company, pursuant to section 362 of the Companies Act 1955, the following:

“1. That pursuant to section 18 (1) (a) of the Companies 1955 (“the Act”), the company alters its memorandum of association by omitting all the objects stated therein.

“2. That pursuant to section 18 (1) (c) of the Act, the company alters its memorandum of association by omitting any provision with respect to the powers of the company.

“3. That pursuant to section 18 (1) (c) of the Act, the company alters its memorandum of association by providing that the company shall have the rights, powers and privileges of a natural person, including the powers referred to in subsections 15A (1) (a) to (h) of the Act.”
