Notice is hereby given that by entry in the minute book of the above-named company, on the 9th day of November 1993, the following special resolutions were passed by the company, namely:

1. That the company be wound up voluntarily.

“That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly, the company be wound up voluntarily.”

Notice is hereby given that by duly signed entry in the minute book of the above-named companies on the 8th day of November 1993, the following extraordinary resolution was passed by each company, namely:

“That the company be wound up voluntarily.”

Note: Declarations of solvency have been filed in compliance with section 274 (2) of the Companies Act 1955.

Notice is hereby given that the undersigned, the joint liquidator of the above-named companies which are being wound up, does hereby fix the 10th day of December 1993, as the day on or before which the creditors of the companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

It was further resolved that Peter Reginald Jollands, insolvency practitioner of Auckland, be appointed provisional liquidator in place of the official assignee under section 362 (9) of the Companies Act 1955.
