Notice of Registration of Order and Minute of Reduction of Capital

In the High Court of New Zealand, Wellington Registry

In the matter of the Companies Act 1955, and in the matter of a scheme of arrangement between Black White & Grey Cabs Limited and the class of its members consisting of the holders of the 158 ordinary shares other than the 15 ordinary shares held by Adelaide Petrol Services Limited and Adelaide Petrol Services Limited and the class of its members consisting of the holders of the 158 ordinary A shares other than the 15 ordinary A shares held by Black White & Grey Cabs Limited and Wellington Taxi Society Limited and the holders of its ordinary shares, for the purpose of effecting a merger of the above-named companies by forming a new company with the name Wellington Combined Taxis Limited:

Notice is hereby given that the order of the High Court of New Zealand, dated 2 August 1993, confirming the reduction of capital of Black White & Grey Cabs Limited from $3,460.00 to $300.00 and the minute approved by the Court were registered by the District Registrar of Companies at Wellington on 5 August 1993.

The said minute is in the words and figures following:

“The issued capital of Black White & Grey Cabs Limited (“the company”) was by virtue of a special resolution of the company passed on 14 June 1993 and with the sanction of an order of the High Court of New Zealand dated 2 August 1993 (“the order”) reduced from $3,460.00 divided into 173 ordinary shares of $20.00 each to $300.00 divided into 15 ordinary shares of $20.00.

“By virtue of a scheme of arrangement sanctioned by the order and of an ordinary resolution of the company passed on 14 June 1993, the issued share capital of the company was increased to, and at the date of registration of this minute is, $3,460.00 divided into 173 ordinary shares of $20.00 each.”

“The issued capital of Wellington Taxi Society Limited (“the company”) was by virtue of a special resolution of the company passed on 14 June 1993 and with the sanction of an order of the High Court of New Zealand dated 2 August 1993 (“the order”) reduced from $150,000 divided into 150 000 ordinary shares of $1.00 each to nil.

“By virtue of a scheme of arrangement sanctioned by the order and of an ordinary resolution of the company passed on 5 July 1993, the issued share capital of the company was increased to, and at the date of registration of this minute is, $150,000 divided into 150 000 ordinary shares of $1.00 each.”

“By virtue of a scheme of arrangement sanctioned by the order and of an ordinary resolution of the company passed on 14 June 1993, the issued share capital of the company was increased to, and at the date of registration of this minute is, $13,840.00 divided into 173 ordinary A shares of $80.00 each.”
