Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company as provided by section 362 of the Companies Act 1955, in lieu of a general meeting of the members of Carter Merchants Limited, the following special resolution:

“That the memorandum of association of the company be altered by omitting clause 3 thereof and consequentially renumbering clauses 4 and 5 thereof and that the company shall henceforth have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing), the powers referred to in subsections (a) to (h) of section 15A (1) of the Companies Act 1955.”

National Mutual Credit Limited
Notice of Registration of Order and Minute of Reduction of Capital
Pursuant to Section 78 of the Companies Act 1955

Notice is hereby given that the order of the High Court of New Zealand, dated the 25th day of June 1993, confirming the reduction of capital of National Mutual Credit Limited from $10,000,000 to $2,000,000, and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the Companies Act 1955, was registered by the Registrar of Companies on the 30th day of June 1993.

The said minute is in the following words and figures:

“The authorised and issued capital of National Mutual Credit Limited is two million dollars ($2,000,000) divided into two million (2 000 000) fully paid ordinary shares of $1 each, having been reduced from ten million dollars ($10,000,000) divided into ten million (10 000 000) ordinary shares of $1 each (of which eight million (8 000 000) shares were fully paid, and two million (2 000 000) shares were unpaid).”
