Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Sport Fisherman Marine Limited:

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 18th day of June 1992, the following-named extraordinary resolution was passed by the company, namely:

"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly, the company be wound up voluntarily."

Note: On the 18th day of June 1992 the company passed a resolution that the official assignee be appointed provisional joint liquidator. That the members of the above-named companies by way of entry in the minute book of each respective company, pursuant to section 362 of the Companies Act 1955, have on the 18th day of June 1992, passed the following special resolution:

"That the company be wound up voluntarily and that Alan John Collins of 6A The Esplanade, Campbells Bay, Auckland, be appointed liquidator for the purposes of such winding up."

The directors wish to advise that the companies are all non-operating companies and are being wound up as a procedural matter only, due to restructuring within the group.
