Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in sections 15A (1) (a) to (h) of the Companies Act 1955); and

“That accordingly the present memorandum of association of the company be amended and the memorandum of association as attached hereto is hereby adopted as the memorandum of association of the company.”

The memorandum of association referred to in the special resolution set out above is available for inspection at the offices of Buddle Findlay, BNZ Centre, 1 Willis Street, Wellington, or on request from the company.
