"(1) The memorandum of association of the company be amended to comply with the requirements of the Companies Act 1955, in respect of an unlimited company by deleting clauses 3 and 4.

"(2) The existing articles of association of the company be rescinded and new articles in the form circulated to members and conforming with the requirements of the Companies Act 1955, in respect of an unlimited company be adopted.

"(3) The name of the company be changed from Rustwel Ninety One Limited to Rustwel Ninety One Company."
