Notice is hereby given that the order of the High Court dated Tuesday, the 14th day of April 1992 confirming the reduction of the issued and paid up capital of the company from $8,561,896.00 to $1,000.00 and the minute approved by the Court showing with respect to the capital of the company as altered, was registered by the Registrar of Companies on the 24th day of April 1992.

That the capital of Natwest New Zealand Limited is $1,000.00 divided into 2000 ordinary shares of 0.50 cents each. At the time of registration of this minute the whole of the share capital of Natwest New Zealand Limited is fully paid.

D.H. Davies & Company Limited hereby gives notice that an extraordinary general meeting of members will be held at 1–37 Mount Wellington Highway, Panmure, Auckland on the 12th day of June 1992 at 9 a.m., to consider and, if the shareholders so vote, to pass the following special resolution:
