Under section 76 of the Companies Act 1955, and in the matter of an application to reduce share capital between Power Hire Limited, a duly incorporated company having its registered office at Auckland and carrying on business as suppliers of generating equipment—Applicant.

Take notice that on Friday, the 29th day of May 1992 at 10 a.m., or as soon thereafter as counsel may be heard, the applicant will move the Court for an order that the capital of the company be reduced from $1,340,000.00 (divided into 1,340,000 shares of $1.00 each) to $100,000.00 divided into 100,000 shares of $1.00 each upon the grounds that:

The procedure set out in the Companies Act 1955, has been followed and that proper notices have been given, meetings held and resolutions passed.
No creditor or shareholder shall receive an undue preference.
The interests of all creditors have been protected.
The scheme is just and equitable.
The interests of future shareholders and creditors and the public at large are protected.
Appear in the affidavit of Michael John Jacob, company director of Auckland, sworn and filed herein.

This application is filed in reliance of sections 75 and 76 of the Companies Act 1955 and regulation 239 of the High Court Rules.
