Notice of Special General Meeting

Notice is hereby given of a special general meeting to be held at the premises at Port Road, Whangarei on the 7th day of May 1991 at 12 noon, for the purpose of transacting the following business:

  1. The presentation of the final accounts of the winding up of the club, and

  2. Granting of approval for the accounts to be lodged with the Registrar with an application for final dissolution of the incorporated society and the termination of the liquidation.

Take notice that on Monday, the 30th day of March 1992, an application for the winding up of Central Club Incorporated by the High Court was filed in the High Court at Wellington.

The application is to be heard before the High Court at Wellington on the 11th day of May 1992 at 10 a.m.

Any person, other than the defendant company, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before that day.

The applicant is New Zealand Breweries Limited, whose address for service is at the offices of Phillips Fox, Seventh Floor, 50–64 Customhouse Quay (P.O. Box 2791 or D.X. 8005), Wellington.

In the matter of Part II of the Partnership Act 1908, and in the matter of Silverwood Forest Corporation Limited and Company - Forest Partnership being the special partnership:

It is hereby certified, pursuant to section 51 of the Partnership Act 1908 that:

  1. The name of the special partnership is Silverwood Forest Corporation Limited and Company - Forest Partnership.

  2. The names, addresses, and capital contributions of the general and special partners are set forth in the Schedule hereto.

  3. The business of the partnership will be as follows: forestry, agriculture and investment.

  4. The principal place at which the business of the partnership will be situated at: Whitby, Judgeford and Pongaroa.

  5. The partnership commenced business on the 12th day of October 1990, and subject to the provisions in the partnership deed relating to earlier dissolution, shall terminate upon the expiry of 7 years from the date of this registration.
