Notice of Resolution of Members to Wind Up Voluntarily

Pursuant to Sections 268 and 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Bradbury Wilkinson and Company (NZ) Limited:

Notice is hereby given that by entry in the minute book of the above-mentioned company on the 30th day of March 1992, pursuant to section 362 (1) of the Companies Act 1955, the following resolutions were passed by the company, namely:

1. Special Resolution
   "That a declaration of solvency having been made, the company be wound up voluntarily in accordance with section 268 of the Companies Act 1955."

2. Ordinary Resolution
   "William Richard Commons and Phillip Geoffrey Bowker, both of Auckland, New Zealand, chartered accountants, are jointly and severally appointed the liquidators for the purposes of winding up the affairs of the company and distributing the assets."

Notice is hereby given that John Robert Buchanan and Stephen Glenn Hotchin were appointed liquidators of the above-named company at a meeting of its creditors held on the 19th day of March 1992.

The liquidators do hereby fix the 13th day of April 1992, as the date on which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or, as the case may be, through objecting to the distribution.
