Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 20th day of March 1992, the following resolution was passed by the company.

Resolved:

That the company cannot, by reason of its liabilities, continue in business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.

That Graeme Norman Davey of Walker Davey and Co., be nominated as liquidator by the company pursuant to section 285 of the Companies Act 1955 on the 2nd day of April 1992 at the offices of Walker Davey and Co., 118 Victoria Street, Christchurch. At which meeting a full statement of the position of the company’s affairs together with a list of the creditors and the estimated amount of their claims will be laid before the meeting and at which meeting the creditors and pursuant to section 285 of the said Act may nominate a person to be the liquidator of the company and in pursuance of section 286 of the said Act may appoint a committee of inspection.

Proxies to be used at the meeting must be lodged at the registered office of the company, 118 Victoria Street, Christchurch (or P.O. Box 25-007) not later than 4 o’clock in the afternoon of the 31st day of March 1992.

Explanation:

Scott Robson International Limited has not traded since December 1990.

The above action is a consequence of a legal dispute.

I would confirm that the trading activities of Scott Robson Yacht Design Limited of Christchurch are in no way affected by or associated with this action.
