Wam Holdings Limited

Notice of Appointment of Receivers

Pursuant to Section 346 (1) of the Companies Act 1955

The Bank of New Zealand with reference to Wam Holdings Limited, hereby gives notice that on the 6th day of March 1992, the bank appointed Paul Duncan Thomas, chartered accountant, whose office is at the corner of Cameron and Wharf Streets, Tauranga and Graeme William Elvin, solicitor, whose office is at Cooney Lees Morgan, Solicitors, 87 First Avenue, Tauranga, jointly and severally as receivers of the property of this company under the powers contained in an instrument dated the 20th day of September 1984.

The receivers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

In the matter of Kimberley Keepings Limited ("the mortgagor") and in the matter of a memorandum of mortgage No. C. 777446/2 ("the mortgage") over the land in certificate of title 20B/98 (Canterbury Registry):

Recitals:

A. The mortgagor granted the mortgage in favour of NZIB Investments Limited ("the mortgagee") to secure the obligations of the mortgagor owed to the mortgagee and interest thereon and all other moneys mentioned therein owing by the mortgagor to the mortgagee.

B. The mortgagor has failed to comply with a notice of demand made by the mortgagee.

C. The mortgagee is entitled in terms of clause 19 of the mortgage to appoint a receiver of the income of the land or any part thereof.

Now therefore in pursuance of the powers conferred by the mortgage the mortgagee doth hereby appoint Stephen John Tubbs of Christchurch, chartered accountant, to be the receiver of the income of the land or part thereof with all and each of the powers conferred upon a receiver under the provisions of the mortgage and by law.

Recitals:
