Notice of Extraordinary General Meeting

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that an extraordinary general meeting of E.C.C. (Transformers & Controls) Limited (“the company”) will be held at the offices of Corban Revell, 19 Alderman Drive, Henderson, Auckland 8 on the 11th day of March 1992 at 9 a.m. when it is intended to propose as a special resolution a resolution for the alteration of the provisions of the memorandum of the company with respect to the objects and powers of the company pursuant to section 18 of the Companies Act 1955. The following resolution will be considered, and if thought fit, passed at the meeting:

That pursuant to sections 15A (5), 18 (1) (a) and (1) (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers referred to in section 15A (1) (a) to (h)).

Notice of Registration of Order and Minute

In the matter of Sec Investments Limited at Christchurch:

Notice is hereby given that the order of the High Court of New Zealand at Christchurch dated the 24th day of January 1992 confirming the reduction of capital of the above-named company from $25,000,000.00 to $100,000.00 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 5th day of February 1992.

The said minute is in the words and figures following:

“The capital of Sec Investments Limited is $100,000.00 divided into 100 000 fully paid ordinary shares of $1.00 each having been reduced from $25,000,000.00 divided into 25 000 000 fully paid ordinary shares of $1.00 each.”

Notice of Reduction of Capital

In the matter of the Companies Act 1955, and in the matter of Aorangi Holdings Limited:

Notice is hereby given that the order of the Court dated on the 12th day of December 1991, confirming the reduction of the share capital of the above-named company from US$6 million being 12 million shares of US$0.50 each to US$3 million being 6 million shares of US$0.50 each by cancelling one share for every two shares held and that such reduction be effected in part by returning to shareholders NZ$0.22 for each share to be cancelled and in part by extinguishing the liability of the company in respect of such shares cancelled and the minute of the above-named company approved by the Court showing with respect to the capital of the company as altered the several particulars required by the above Statute were registered by the Registrar of Companies on the 18th day of December 1991.
