Advertisement of Application for Order Under Section 209 of the Companies Act 1955

Take notice that on the 29th day of September 1992, an application for an order under section 209 of the Companies Act 1955, in respect of N.Z. College of Mortuary Science Limited (trading as Nga Hau E Wha Funeral Services and also trading as Matthews & Joyce Families Funeral Services), was filed in the High Court at Auckland.

The orders sought are:

1. An order determining the financial position of the company for the period from the 1st day of April 1989 to the date of judgment.

2. An order declaring the assets and liabilities of the company.

3. An order that Ramsey Paul Joyce account to the company for any property of the company that Ramsey Paul Joyce has received and has in his possession, including all money belonging to the company, and all vehicles belonging to the company.

4. An order that Ramsey Paul Joyce sell his shares in the company to Benjamin Matthews at a value to be determined by the Court.

5. Costs.

The application is to be heard before the High Court at Auckland on the 6th day of November 1992 at 10 a.m.

Any person, other than the defendant company, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before that date.

I, Angus Thomas McKinnon, Assistant Registrar of Companies, hereby certify that the Court order, dated the 30th day of September 1992 and minute of reduction as set out below was registered on the 30th day of September 1992:

1. Pursuant to the passing of a special resolution of Laserstream Cutting Limited (“the company”) made on the 26th day of February 1992, and confirmed by an order of the High Court of New Zealand at Auckland on the 30th day of September 1992, the share capital of the company is now as follows:
