Notice is hereby given in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the offices of Horwath Brannigan McCullagh & Co., Level Ten, Barclays House, 70 Shortland Street, Auckland, on the 13th day of November 1992 at 3 p.m. for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

To consider and if thought fit to pass the following resolution as an extraordinary resolution, namely:

"That pursuant to section 328 of the Companies Act 1955, the books and papers of the company and of the liquidator be retained in safe keeping by Horwath Brannigan McCullagh & Co., chartered accountants of Auckland."

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy (or, when that is allowed, one or more proxies) to attend and vote instead of him. A proxy need not also be a member.

Notice of Meeting of Creditors

In the matter of the Companies Act 1955, and in the matter of Global Sports & Promotions (1989) Limited (in liquidation):

Messrs P. C. Chatfield and L. G. Chilcott, chartered accountants, being the joint and several liquidators of the above-named company appointed by the creditors of the company at a meeting of creditors held on the 20th day of August 1992, hereby summon a meeting of creditors to be held at the offices of Smith Chilcott, Chartered Accountants, First Floor, General Buildings, 29 Shortland Street, Auckland, at 10.30 a.m. on the 2nd day of November 1992 pursuant to rule 106 of the Companies (Winding Up) Rules 1956.

The business of the meeting shall be to:

  1. Confirm the appointment of the liquidators notwithstanding the failure of the company to summon the meeting held on the 20th day of August 1992 in compliance with the Companies Act 1955.

  2. Confirm the appointment of Messrs S. Cannell, R. Purchase and P. Waterman as the committee of inspection.

  3. Consider a statement by the directors as to the company’s affairs and the circumstances leading to the winding up.

  4. Consider a statement by the liquidators as to the progress of the winding up.
