Notice of Special Resolution

Notice is hereby given that the company intends passing the following special resolution by means of entry in the minute book, pursuant to section 362 of the Companies Act 1955 on the 7th day of October 1992:

That the company’s memorandum of association be amended, pursuant to section 18 (1) (c) of the Companies Act 1955, by omitting all provisions with respect to the powers of the company contained in the memorandum of association of the company and that the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsections (1) (a) to (h) of section 15A of the Companies Act 1955).

Such proposed special resolution to be in the following form:
It is hereby resolved this 29th day of October 1992, as a special resolution pursuant to section 18 (1) of the Companies Act 1955, that the memorandum of association be and the same is hereby altered by deleting clauses 4 and 5 and the second schedule and replacing them with the following clauses:

“4. The share capital of the company is $5,000,000.00 divided into 10,000,000 shares of 50c each.

5. The company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15A of the Companies Act 1955), except in so far as the exercise of those rights, powers and privileges may be restricted or prohibited.”

Notice of General Meeting

New Zealand Light Leathers Limited, hereby gives notice pursuant to section 18 (5) of the Companies Act 1955, that the annual general meeting of the company will be held on the 29th day of October 1992 at noon at the registered office of the company at Meadows Road, Washdyke, where it is intended that a special resolution will be proposed for the alteration of the provisions of the memorandum of the company with respect to the objects and powers of the company.
