the provisions of the memorandum of association of the company be altered as follows:

"It is hereby resolved this 18th day of September 1992, as a special resolution by entry in the minute book of the company as provided by section 362 (1) of the Companies Act 1955:

Tibetan Arts and Culture Limited ("the company") being a duly incorporated private company registered under Part VIII of the Companies Act 1955, hereby gives notice pursuant to section 18:

(i) Amending the introductory words of clause 3 to read:

‘The primary objects of the company shall be limited to those classified as approved charitable by the Commissioner of Inland Revenue within New Zealand, and in particular to help maintain and share the arts and culture of the Tibetan community in New Zealand throughout the operating area as defined in the articles of association through;’

(ii) Deleting the present clause 4 (d), and replacing it with a new clause to be numbered 4 (d), namely:

‘No benefit in money, or moneys worth shall be given to any director except repayment which is fair and reasonable, for out of pocket expenses incurred.’"
