Notice of Extraordinary General Meeting

Notice is hereby given that an extraordinary general meeting of members of The Pharmacy Defence Association of New Zealand Limited, will be held at the registered office of the company at the First Floor, Pharmacy House, 124 Dixon Street, Wellington on the 25th day of February 1992 at 8 p.m., at which it is intended to propose as a special resolution that the memorandum of association of the company be altered, pursuant to section 18 (1) of the Companies Act 1955, by omitting all of the provisions with respect to the powers of the company therein, in particular those contained in paragraphs II and IV of the memorandum of association, and that the company have the rights, powers and privileges of a natural person (including the powers referred to in subsections (1) (a), (b) and (d) to (h) (inclusive) of section 15A of the Companies Act 1955), provided that the company shall not have the power to pay, transfer or distribute directly or indirectly, any income or property of the company by way of profit to the members of the company, provided that nothing herein shall prevent the payment in good faith of remuneration to any officers or servants of the company for any services actually rendered.
