Notice of Meeting of Creditors

In the matter of the Companies Act 1955, and in the matter of
The Toy Warehouse Limited (in liquidation):

Notice is hereby given that the first meeting of creditors of the above-named company (which was ordered to be wound up by the High Court on the 2nd day of July 1992), will be held at the New Zealand Society of Accountants’ offices, Conference Room Two, 27–33 Ohinerau Street, Remuera, Auckland, on the 11th day of August 1992 at 2.30 p.m.

Business:

1. To consider the statement as to the affairs of the company.
2. To consider whether application should be made to the Court for the appointment of a liquidator(s) other than the official assignee and, if so, decide on the nominee for that position.
3. To consider whether application should be made to the Court for the appointment of a committee of inspection to act with the liquidator(s) and, if so, to decide on the nominees for such committee.

To entitle you to vote at the meeting you must lodge a proof of debt.

Proxies for this meeting must be lodged at the offices of Smith Chilcott, First Floor, General Building, 29 Shortland Street, Auckland, not later than 12 noon on the 10th day of August 1992.

Note: If a liquidator is not appointed by the Court, the official assignee will be the liquidator.

Notice is hereby given that the first meeting of contributories of the above-named company (which was ordered to be wound up by the High Court on the 2nd day of July 1992), will be held at the New Zealand Society of Accountants’ offices, Conference Room Two, 27–33 Ohinerau Street, Remuera, Auckland, on the 11th day of August 1992, immediately following the creditors’ meeting, the creditors meeting commencing at 2.30 p.m. on that day.

Business:

Notice is hereby given in pursuance of section 291 of the Companies Act 1955, that meetings of the members and creditors of the above-named company will be held at the offices of KPMG Peat Marwick, KPMG Centre, Fifth Floor, 9 Princes Street, Auckland at 9 a.m. on the 21st day of August 1992 for the purpose of having an account laid before the meetings showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanations thereof by the liquidator, and to determine the manner in which the books, accounts and documents of the company and of the liquidator are to be disposed of.

Every member or creditor entitled to attend and vote at the meetings is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member or creditor respectively.
