Notice of General Meeting to Consider Special Resolutions

Notice is hereby given that a general meeting of the members of Taxi Card Ltd. ('the company') will be held on the 7th day of June 1991 at the offices of the company, Level Three, 93 Boulcott Street, Wellington at 10 a.m.

Business:
The purpose of this meeting is to consider and, if thought fit, to pass (by way of entry in the minute book of the company) the following special resolutions:

'That pursuant to sections 15A and 18 of the Companies Act 1955, the memorandum of association of the company be hereby amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in sections 15A (1) (a) to (h) of the Companies Act 1955); and

That accordingly the present memorandum of association of the company is amended and the memorandum of association as attached hereto is hereby adopted as the memorandum of association of the company.'

The memorandum of association referred to in the special resolution set out above is available for inspection at the offices of the company, Level 3, 93 Boulcott Street, Wellington or on request from the company.
