Notice of Intention to Exercise Powers Under Debenture (Without Appointing Receiver)

Pursuant to Sections 346 (1) and 348 (c) of the Companies Act 1955

BNZ Finance Ltd, a duly incorporated company having its registered office at Wellington ("the debenture holder"), hereby gives notice that it intends to exercise its powers as debenture holder pursuant to the provisions of a debenture dated the 24th day of September 1987, given by Coleburn Investments Ltd, in favour of BNZ Finance Ltd over the undertaking, property and assets of the company referred to in the debenture and in particular BNZ Finance Ltd. intends to enter the motel premises known as Hillcrest Motor Inn, Cobham Drive, Hamilton and take possession and sell the chattels and other property situate therein, such sale being by private sale or public auction in terms of the powers contained and implied in the debenture.

In the matter of the Companies Act 1955, and in the matter of Tasman Cashmere Limited, a duly incorporated company having its registered office at Palmerston North—Applicant:

Before the Honourable Mr Justice Gallen on Monday, the 8th day of April 1991.

Upon reading the statement of claim for orders in terms of the prayer therein and upon reading the interlocutory application of the plaintiff for orders in terms thereof and upon reading the affidavit of Bruce McCallum and the memorandum of counsel this court orders:

1. That the special resolution passed by the shareholders of Tasman Cashmere Limited by means of an entry in the minute book of the company, signed as provided by subsection (1) of section 362 of the Companies Act 1955 on the 29th day of January 1991, reducing the capital of that company from its present capital of five hundred and sixty thousand dollars ($560,000.00) to two dollars ($2.00), be and the same is hereby confirmed and that subsection (2) of section 76 of the Companies Act 1955 and subsection (2) of section 77 of the Companies Act 1955, shall not apply thereto.

2. That the costs and expenses of and incidental to this application be paid by Rakatumara Land Company Limited.

3. That service on any person of this application, the statement of claim, the affidavit filed in support and the submissions and memorandum of counsel filed herein be dispensed with.

4. That no notice of proceeding nor statement of defence be filed.
