Notice of Extraordinary Resolution to Wind Up Company and Notice of Meeting of Creditors

Name of Company: Overseas Travel Service Ltd. (in voluntary liquidation) of 10 High Street, Hawarden (trading from Hornby Mall, Hornby).

Notice is hereby given that by an entry in its minute book signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 3rd day of May 1991, passed a resolution for voluntary winding up, and the appointment of the official assignee as provisional liquidator, and that a meeting of the creditors of the above-named company will accordingly be held at the Meeting Room, Fourth Floor, Maling House, corner of Gloucester Street and Oxford Terrace, Christchurch on Friday, the 17th day of May 1991 at 10.30 o’clock in the forenoon.

Notice of Resolution for Voluntary Winding Up

Notice is given that after delivery to the Registrar of Companies on the 2nd day of May 1991 of a declaration of solvency pursuant to the provisions of section 274, the above-named companies by minute entered in their respective minute books pursuant to the provisions of section 362, each passed the following resolution as a special resolution on the 3rd day of May 1991:

“That the company, having filed a declaration of solvency pursuant to section 274 of the Companies Act 1955, be wound up voluntarily and that Geoffrey Donald Campbell Walker and Rowan John Chapman, both chartered accountants of 63 Albert Street, Auckland, jointly and severally be and are appointed liquidator of the company.”

Notice to Creditors to Prove Debts or Claims

Notice is given that the undersigned, the liquidator of the above-named companies which are being wound up voluntarily, fixes 30 May 1991, as the day on or before which the creditors of the companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to any distribution.
