CCH Australia Ltd., a company incorporated in New South Wales, but having a place of business in Auckland, hereby gives notice that after the expiration of 3 months from the 24th day of April 1991, it will cease to have a place of business in New Zealand.

The operation previously carried out by the New Zealand branch of CCH Australia Ltd., Commerce Clearing House (New Zealand), has been transferred to Commerce Clearing House New Zealand Ltd.

Notice of an Extraordinary General Meeting

Pursuant to Section 18 of the Companies Act 1955

Notice is hereby given that an extraordinary general meeting of the members of United International Pictures (N.Z.) Ltd. will be held at the offices of Earl Kent Alexander Bennett, Eighth Floor, Downtown House, Auckland on the 24th day of May 1991 at 11 a.m., for the purpose of considering and if thought fit, of passing as a special resolution the following:

That application be made by the company to be registered as an unlimited company, pursuant to section 30 (1) (b) of the Companies Act 1955, be and the same is hereby authorised.
That pursuant to section 15A (5) and section 18 (a) of the Companies Act 1955:

(i) The company alter its memorandum of association by omitting all provisions with respect to the powers of the company.

(ii) Henceforth the company shall have the rights, powers and privileges of a natural person (including the powers referred to in section 15A (1) (a) to (h)).

(iii) Accordingly the memorandum of association as attached hereto and initialled for identification purposes be hereby adopted in substitution for the existing memorandum of articles which is hereby revoked.
That the articles of association as attached hereto and initialled for identification purposes be adopted.
