Notice of Proposed Resolution to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company in lieu of a general meeting of the members of Vacation Hotel (Frankton) Ltd. the following special resolution:

‘‘That consequent upon the company being authorised to be registered as an unlimited company, the memorandum of association of the company be varied by:

(i) Deleting the words in the title ‘Company Ltd. by Shares’ and ‘Motel Frankton Ltd.’ and substituting them with the following words respectively ‘Unlimited Company’ and ‘Vacation Hotel (Frankton)’;
(ii) Deleting clause I and substituting it with the following clause:
‘I. The name of the company is ‘Vacation Hotel (Frankton)’ ’;
(iii) Amending clause III (2) by deleting ‘1962’ from line 2 of that clause and substituting ‘1989’;
(iv) Deleting clause VI and substituting it with the following clause:
‘VI. The liability of the members is unlimited’; and
(v) Deleting clause VII and substituting it with the following clause:
‘VII. The capital of the company is $30,150,000 comprising 150 000 ordinary shares of $1 each and 30 000 000 redeemable preference shares of $1 each.’’
