Notice of Appointment of Liquidators and for Creditors to Prove Debts or Claims

In the matter of the Companies Act 1955, and in the matter of Litan Kitchens Ltd. (in liquidation):

Notice is hereby given that Michael Peter Stiassny and Stephen Mark Lawrence were appointed joint liquidators of Litan Kitchens Ltd. (in liquidation) at the meeting of its creditors held on the 26th day of March 1991.

The liquidators do hereby fix the 30th day of April 1991, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, through objecting to the distribution.

Notice is hereby given, in pursuance of section 291 of the Companies Act 1955, that meetings of the members and creditors of the above-named company will be held at the offices of KPMG Peat Marwick, Fifth Floor, KPMG Peat Marwick Centre, 9 Princes Street, Auckland at 11 a.m. on the 26th day of April 1991, for the purpose of having an account laid before the meetings showing how the winding up has been conducted and the property of the company has been disposed of and to receive any explanations thereof by the liquidator.

Every member or creditor entitled to attend and vote at the meetings is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member or creditor respectively.

Notice of Meeting of Creditors

In the matter of the Companies Act 1955, and in the matter of SCANZ Network (NZ) Ltd. (in liquidation):

Notice is given that a meeting of the creditors of the above-named company will be held at the offices of Simpson Grierson Butler White, Level 6, Unisys House, 44–52 The Terrace, Wellington on the 17th day of April 1991 at 10.30 a.m.

Agenda:

1. To appoint a chairman under section 284 (4A) of the Companies Act 1955.

2. To receive a report on the proceedings of the relevant meeting of the members of the company held to resolve specially that the company be wound up voluntarily.

3. To receive a report under section 284 (3) of the Companies Act 1955 in relation to the affairs of the company.

4. To hear a report from a director of the company as to the affairs of the company and the circumstances leading up to the proposed winding up in accordance with section 284 (4) of the Companies Act 1955.

5. To confirm the appointment of C. R. Martin of Lower Hutt as liquidator of the company or to nominate another person to be liquidator of the company in accordance with section 285 of the Companies Act 1955.

6. To consider and, if thought fit, to constitute a committee of inspection in accordance with section 286 of the Companies Act 1955.

7. To resolve to fix the remuneration of the liquidator at the rates normally charged by chartered accountants practising in Wellington for work of this nature, and to authorise the liquidator to draw such remuneration from time to time out of any moneys held by him as liquidator of the company in accordance with section 287 (2) of the Companies Act 1955.

8. To consider and, if appropriate, give a direction in accordance with paragraph (b) of section 328 (1) of the Companies Act 1955.

Proof of Debt:

No person will be entitled to vote as a creditor at the meeting unless he has lodged with the chairman of the meeting particulars of his debt or claim or a formal proof of the debt or claim in respect of which he claims payment from the above company.

Proxies:

Creditors unable to attend the meeting may vote by proxy. Proxies should be duly executed and forwarded to the secretary of the company at the First Floor, Repro House, 60 Kent Terrace, Wellington or care of Simpson Grierson Butler White, Unisys House, 44–52 The Terrace (P.O. Box 2402), Wellington, so as to be delivered at that address no later than 4 p.m. on the day preceding the meeting.
