Notice of Appointment of Receivers and Managers

Neville William Hall and Carol Fay Hall give notice that on the 4th day of March 1991, they appointed Christopher David Cameron and Russell Lenard Hamilton Green, both of Auckland, financial consultants, as receivers and managers of all the property and assets of Telecommunications Supplies Ltd., pursuant to powers contained in a debenture given by the company in their favour.

The office of the receivers and managers is at the offices of Cameron Green & Co, Fifth Floor, Smith & Caughey Building, corner of Queen and Wellesley Streets, P.O. Box 6888, Auckland 1.

Receiver’s Appointment

In the matter of a debenture deed dated 1 October 1990 given by Cranford Food Distributors Ltd. at Christchurch to Tui Sales and Marketing Ltd. at Longburn, Palmerston North:

Whereas—

(a) Tui Sales and Marketing Ltd. (“the debentureholder”), is the debentureholder under the above-mentioned debenture which was registered at the companies office at Christchurch on 17 October 1990.

(b) The National Bank of New Zealand Ltd., appointed receivers of Cranford Food Distributors Ltd., pursuant to powers given in a prior debenture, which rendered the moneys secured under the debenture repayable upon demand.

(c) A notice of demand from the debentureholder was served on the registered office of Cranford Food Distributors Ltd. on 8 March 1991, requiring immediate repayment of the amount owing under the debenture, and such repayment was not made, and at the date hereof has not been made.

(d) The debentureholders now wish to appoint persons to be receivers under the powers given in the debenture.

Now therefore using the powers conferred on them in the debenture, the debentureholders do hereby appoint Stephen John Tubbs and Kevin Michael Thomas, both of Christchurch, chartered accountants, jointly (and where the law allows, severally) to be the receiver of the property of Cranford Food Distributors Ltd., charged by the debenture with all and each of the powers conferred upon a receiver under the provisions of the debenture and by law.

The New Zealand Guardian Trust Company Ltd. at Auckland (“the trustee”), hereby gives notice that on the 14th day of March 1991, it appointed Peter Reginald Howell and Richard Dale Agnew, both of Auckland, chartered accountants, jointly and severally to be receivers and managers of an asset of the company as set out in the Schedule such asset being charged by a debenture trust deed dated on the 17th day of March 1987, given by Anzon Investments Ltd. in favour of the trustee.
